These terms and conditions ("Agreement") set forth the general terms and conditions of your use of the revitalizingnurses.com website ("Website" or "Service") and any of its related products and services (collectively, "Services"). This Agreement is legally binding between you ("User", "you" or "your") and JL Nurse Consulting (doing business as "Revitalizing Nurses", "we", "us" or "our").

By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You acknowledge that this Agreement is a contract between you and Revitalizing Nurses, even though it is electronic and is not physically signed by you, and that it governs your use of the Website and Services. If you do not agree with the terms of this Agreement, you must not access or use the Website and Services.

Our Disclaimer and our Privacy Policy are incorporated into this Agreement by reference and form part of it. Please read them.

1. Eligibility and accounts

You must be at least 18 years of age to use the Website and Services. By using the Website and Services and agreeing to this Agreement, you represent and warrant that you are at least 18 years of age.

If you create an account, you are responsible for maintaining the security of your account and are fully responsible for all activity that occurs under it. Accounts are for a single individual. You may not share your login credentials or account access with any other person. You must notify us immediately of any unauthorized use of your account or any other breach of security.

Providing false contact information may result in termination of your account. We may suspend, disable, or delete your account if we determine that you have violated any provision of this Agreement. If we terminate your account for a violation of this Agreement, you may not re-register for our Services, and we may block your email address to prevent further registration.

2. What you are purchasing

Digital products. When you purchase a course, masterclass, or other digital product, you receive access to that product through our online platform, together with any bonus materials described on the sales page at the time of purchase. Access is granted to you as an individual and is not transferable.

Duration of access. We will maintain your access to a purchased digital product for as long as we continue to offer that product. If we retire a product, we will give purchasers at least 90 days' notice by email so that you can download any materials you wish to keep. Materials you have downloaded remain yours to use under the license in section 6.

Membership. Membership products provide access to the benefits described on the sales page for as long as your subscription remains active and paid. Membership benefits, including the schedule and format of live sessions, training, and resources, may change over time. We will not materially reduce the core benefits of an active membership without notice.

Live sessions. Live sessions may be recorded. By attending, you consent to being recorded if you speak or appear on camera. Recordings may be made available to other members. If you prefer not to be recorded, you may attend with your camera off and submit questions in writing.

3. Billing and payments

You agree to pay all fees and charges for your purchases in accordance with the prices and billing terms in effect at the time of purchase. Prices are in US dollars unless stated otherwise. You are responsible for any applicable sales or use tax, which will be shown at checkout where we are required to collect it.

Payments are processed by third-party payment processors. We do not collect or store your full payment card details. See our Privacy Policy.

We reserve the right to change our products and prices at any time. Price changes do not affect purchases already completed. We reserve the right to refuse or cancel any order, including where we reasonably suspect fraud or a violation of this Agreement. If we cancel an order, we will refund any amount paid and will attempt to notify you at the email address provided.

Where a limited-time price is offered, that price is available only during the window shown to you. Once the window closes, the standard price applies.

4. Refunds and the 30-day guarantee

The guarantee. If you purchase the masterclass or another one-time digital product and it isn't right for you, you may request a full refund within 30 days of your purchase date. You do not need to give a reason.

How to request one. Email [email protected] from the email address used for the purchase, within 30 days of purchase, and ask for a refund. We will process it within five business days of receiving your request. Refunds are issued to the original payment method. Depending on your bank, it may take an additional five to ten business days to appear on your statement.

What happens to your access. When a refund is issued, your access to the product and to all bonus materials included with it ends. You must stop using and must delete any materials you downloaded, including printed copies. The license granted in section 6 terminates on refund.

Limits. The guarantee applies once per person per product. It does not apply to a repurchase of a product you have previously refunded. It does not apply to membership subscriptions, which are governed by section 5.

After 30 days. After the 30-day window, purchases are final and non-refundable except where required by law.

5. Membership subscriptions, renewal, and cancellation

Recurring billing. Membership is a recurring subscription. By subscribing, you authorize us and our payment processor to charge your payment method the membership fee automatically at the start of each billing period until you cancel. Your billing date is the date of your initial purchase, and it recurs monthly on that date.

Price. Your membership price is the price shown at checkout. If we change the membership price, we will give existing members at least 30 days' notice by email before the new price applies to them, and you may cancel before the change takes effect.

Cancellation. You may cancel at any time, for any reason, through your account settings on the Website, or by emailing [email protected]. Cancellation takes effect at the end of your current billing period. You keep full access through the period you have already paid for.

No partial refunds. We do not provide partial or prorated refunds for a billing period in progress. Because you can cancel at any time before your next renewal, the maximum you can be charged after deciding to leave is nothing.

Failed payments. If a payment fails, we may retry it and may suspend your access until payment succeeds. If payment cannot be collected, your membership may be cancelled.

Our right to cancel. We may cancel your membership and refund the unused portion of your current billing period if you violate this Agreement, including the community conduct and patient information provisions.

6. Program Materials and your license to use them

Definition. "Program Materials" means all materials we make available through the Website and Services, including written materials, downloadable resources, printable reference cards, checklists, scripts, documentation templates, videos, recorded and live sessions, and any other materials we produce.

Ownership. All Program Materials are owned by Revitalizing Nurses or its licensors and are protected by copyright, trademark, and other intellectual property laws. This Agreement does not transfer ownership of any Program Materials to you.

Your license. Subject to your compliance with this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access, download, and print Program Materials for your own individual professional use. This license expressly permits you to print a reference card, checklist, or template and use or carry it in your own practice.

What the license does not permit. You may not: (a) share, distribute, sell, resell, sublicense, or otherwise make Program Materials available to any other person; (b) upload Program Materials to any shared drive, learning management system, intranet, message board, or other system accessible to others; (c) use Program Materials for employer, facility, institutional, academic, orientation, or group training; (d) remove, obscure, or alter any copyright notice, disclaimer, branding, or attribution; (e) create derivative works from Program Materials; or (f) record, screenshot, or reproduce live sessions or video content.

Institutional use. Facility, institutional, academic, and group use requires a separate written license. Contact [email protected] to request one.

Termination of license. This license ends if your access is terminated, if you receive a refund, or if you violate this Agreement. On termination you must stop using and delete all Program Materials in your possession, including printed copies.

7. User Content and community conduct

Definition. "User Content" means anything you submit, post, or share through the Website and Services, including community posts and comments, questions, chat messages in live sessions, survey and form responses, testimonials, and emails to us.

Ownership and license. You retain ownership of your User Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your User Content solely for the purpose of operating and providing the Services, including displaying your posts to other members of a community you belong to.

Testimonials and marketing. We will not use your User Content in advertising, marketing, or promotional material without asking you first and obtaining your permission. Where you give permission, we may use it in the form and with the attribution you agree to, and you may withdraw permission for future use at any time by contacting us.

Your responsibility. You are solely responsible for your User Content, including its accuracy, legality, and whether you have the right to share it. You may not submit User Content that is false or misleading, that infringes anyone's intellectual property or privacy rights, or that violates section 8 or section 9.

Community conduct. Our community spaces exist so that nurses can ask questions and talk through difficult situations without judgment. You agree to treat other members with respect, to keep what other members share within the community, and not to identify, quote, screenshot, or repost another member's contributions outside the community.

Our rights. We may monitor, review, edit, or remove any User Content at any time and for any reason, and may suspend or terminate access for violations. We are not obligated to monitor User Content.

8. Patient information

You may not submit, post, upload, or share through the Website, Services, community spaces, live sessions, direct messages, or any other channel any protected health information or any information that identifies or could reasonably be used to identify a patient. This includes patient names, dates of service, facility or unit names, medical record numbers, and any combination of details from which an individual patient could be identified.

You are solely responsible for de-identifying any clinical scenario you describe. Revitalizing Nurses is not a HIPAA covered entity or business associate, and nothing you submit to us is treated as protected health information.

We may remove any submission that violates this section and may suspend or terminate your access without refund. Repeated or serious violations will result in permanent removal from the community.

9. Prohibited uses

You are prohibited from using the Website, Services, or Program Materials: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful act; (c) to violate any international, federal, state, or local law, rule, regulation, or ordinance; (d) to infringe upon or violate our intellectual property rights or those of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against any person; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other malicious code; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; or (j) to interfere with or circumvent the security features of the Website and Services.

We reserve the right to terminate your access for violating any prohibited use.

10. Intellectual property rights

"Intellectual Property Rights" means all present and future rights conferred by statute, common law, or equity in relation to copyright and related rights, trademarks, designs, patents, inventions, goodwill, and all other intellectual property rights, whether registered or unregistered, including all applications for such rights.

This Agreement does not transfer to you any intellectual property owned by Revitalizing Nurses or by third parties, and all rights, title, and interest in and to such property remain solely with Revitalizing Nurses or its licensors. All trademarks, service marks, graphics, and logos used in connection with the Website and Services are trademarks of Revitalizing Nurses or its licensors. Other trademarks used in connection with the Website and Services may belong to third parties. Your use of the Website and Services grants you no right or license to reproduce or otherwise use any trademark.

11. Third party services

The Website and Services rely on and may link to third-party services. Your access to and use of third-party services is governed solely by the terms of those services. We do not endorse and are not responsible or liable for any aspect of third-party services, including their content, their handling of your data, or any interaction between you and the provider. We are not liable for any damage or loss caused or alleged to be caused by your use of any third-party service or your reliance on its privacy or security practices.

12. Affiliate links and advertising

Some links on the Website may be affiliate links, meaning we may receive a commission if you click through and make a purchase, at no additional cost to you. Where content is sponsored or an affiliate relationship exists, we disclose it.

Any correspondence, promotion, or transaction between you and a third-party advertiser or sponsor is solely between you and that third party. We have no liability or responsibility for it.

13. Educational nature of the Services

The Program Materials are professional education for licensed healthcare professionals and healthcare students. They teach general principles, frameworks, and skills, and are intended to strengthen your own clinical judgment. They are not clinical direction for any specific patient and do not constitute medical or nursing advice regarding the care of any individual.

The Program Materials do not replace and are not intended to override your employer's or facility's policies, procedures, protocols, and standing orders, your facility's chain of command, orders from a licensed provider, or your own clinical judgment. Where any Program Material conflicts with any of the foregoing, your facility's policies and the direction of the treating provider control.

You are solely responsible for practicing within the scope of your license, certification, and training, and for complying with your state's nurse practice act, your professional board's requirements, and your employer's policies.

The Program Materials do not provide continuing education contact hours and are not accredited by any body, board of nursing, or credentialing organization.

14. Accuracy of information

Occasionally there may be information on the Website that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, availability, promotions, or offers. We reserve the right to correct any such error and to change or update information, or to cancel an order, if any information is inaccurate at any time without prior notice, including after you have submitted your order. If we cancel an order for this reason, we will refund any amount paid in full.

15. Disclaimer of warranty

The Services are provided on an "as is" and "as available" basis, and your use of the Website and Services is solely at your own risk. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the Services will meet your requirements or that access will be uninterrupted, timely, secure, or error-free, nor any warranty as to the results that may be obtained from use of the Services or the accuracy or reliability of any information obtained through them. No advice or information, whether oral or written, obtained by you from us or through the Services creates any warranty not expressly made in this Agreement.

16. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Revitalizing Nurses, its owners, affiliates, officers, employees, agents, suppliers, or licensors be liable to any person for any indirect, incidental, special, punitive, cover, or consequential damages, including without limitation damages for lost profits, revenue, sales, goodwill, business interruption, or loss of anticipated savings, however caused and under any theory of liability, including contract, tort, warranty, breach of statutory duty, negligence, or otherwise, even if the liable party has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the aggregate liability of Revitalizing Nurses and its owners, affiliates, officers, employees, agents, suppliers, and licensors relating to the Services will not exceed the greater of one hundred dollars or the amounts actually paid by you to Revitalizing Nurses in the twelve months preceding the event giving rise to the liability. These limitations and exclusions apply even if this remedy does not fully compensate you for any loss or fails of its essential purpose.

17. Indemnification

You agree to indemnify and hold Revitalizing Nurses and its owners, affiliates, officers, employees, agents, suppliers, and licensors harmless from and against any liabilities, losses, damages, or costs, including reasonable attorneys' fees, incurred in connection with or arising from any third-party allegation, claim, action, dispute, or demand asserted against any of them as a result of or relating to your User Content, your use of the Website and Services, your violation of this Agreement, or any willful misconduct on your part.

18. Termination

You may stop using the Services at any time. You may cancel a membership as described in section 5.

We may suspend or terminate your access to the Website and Services, in whole or in part, at any time, with or without notice, if you violate this Agreement. Sections 6 through 10 and 15 through 20 survive termination.

19. Severability

All rights and restrictions in this Agreement apply only to the extent that they do not violate applicable law and are intended to be limited to the extent necessary so that they do not render this Agreement illegal, invalid, or unenforceable. If any provision or portion of a provision is held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect.

20. Dispute resolution

The formation, interpretation, and performance of this Agreement, and any dispute arising out of it, are governed by the substantive and procedural laws of the Commonwealth of Pennsylvania, United States, without regard to its rules on conflicts or choice of law, and, to the extent applicable, the laws of the United States. The exclusive jurisdiction and venue for actions related to the subject matter of this Agreement are the courts located in Pennsylvania, United States, and you submit to the personal jurisdiction of those courts.

You waive any right to a jury trial in any proceeding arising out of or related to this Agreement, to the extent such waiver is permitted by applicable law. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Before filing any claim, you agree to contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least 30 days.

21. Assignment

You may not assign, resell, sublicense, or otherwise transfer or delegate any of your rights or obligations under this Agreement, in whole or in part, without our prior written consent, and any such attempted assignment is null and void. We may assign our rights and obligations under this Agreement, in whole or in part, to any third party as part of a sale of all or substantially all of our assets, or as part of a merger.

22. Changes and amendments

We reserve the right to modify this Agreement at any time at our discretion. When we do, we will revise the updated date at the bottom of this page and may notify you in other ways, such as by email. An updated version is effective immediately upon posting unless otherwise specified. Your continued use of the Website and Services after the effective date constitutes your consent to those changes.

Changes to membership pricing are governed by section 5 and require advance notice.

23. Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all of its terms and conditions. By accessing and using the Website and Services, you agree to be bound by this Agreement. If you do not agree to abide by these terms, you are not authorized to access or use the Website and Services.
